Mercantile at The Gathering

Local Maker Space Rental & Consignment Agreement

This agreement is between The Gathering Marionville, LLC (“The Gathering”) and the undersigned Vendor. The Gathering provides retail display space for local makers at 24 E Washington St, Marionville, MO 65705. Vendor agrees to rent display space and allow Elevate Coffee to process sales on their behalf.

Space & Fees

  • Display Space: Retail box approx. 3’ wide x 5’ tall

  • Monthly Fee (due 1st):

    • Full box: $50/month (6-month commitment)

    • Half box: $30/month (6-month commitment)

1. Purpose

The Gathering offers retail display space for local makers to sell their products inside The Gathering. Vendor wishes to rent space, display their products, and allow Elevate Coffee to process sales on their behalf, anytime Elevate Coffee is open for public or private events.


2. Space Rental

  • Vendor will rent the space described in Exhibit A.

  • Displays/products must be approved by The Gathering (approval will not be unreasonably withheld).

  • Rental fees are due on the 1st of each month.

  • The Gathering is not required to purchase Vendor’s products.


3. Sales & Payment

  • The Gathering (through Elevate Coffee) will process sales, collect sales tax, and remit it to the State of Missouri.

  • Vendor will receive monthly sales proceeds minus credit card fees (currently 2.6% + $0.15 per transaction). Vendors should price products accordingly.

  • Vendor retains ownership of all products until they are sold.


4. Restrictions & Standards

  • The Gathering may limit similar product types to avoid conflicts or meet brand requirements.

  • Offensive, anti-Christian, or illegal products are not allowed.

  • Vendor must follow all copyright and intellectual property laws.


5. Product Security & Risk

  • The Gathering will make reasonable efforts to secure products, but Vendor is responsible for any loss or damage before sale.

  • Vendor may check their display or review sales records during business hours.


6. Product Setup & Maintenance

  • Vendor is responsible for delivering and setting up products in their space.

  • All products must have price tags and the Vendor’s name.

  • Vendor must restock, tidy, and refresh their display at least weekly and keep all products within their assigned space.

  • Seasonal displays and special order promotions (such as QR codes) are encouraged.


7. Marketing & Events

  • Both parties shall promote each other on social media, and include Elevate Coffee

  • The Gathering may use Vendor’s name, logo, or product images for marketing.

  • Vendors are encouraged to participate in pop-up events and other special promotions (optional but beneficial).


8. Term & Renewal

  • Initial term: 6 months. After this, the agreement may be renewed annually.

  • Either party may choose not to renew by giving 30 days’ written notice before the end of the current term.

  • Either party may also terminate this agreement at any time with 30 days’ written notice.

  • If either party violates the agreement and does not correct the issue within 10 days, the other party may terminate immediately.

  • If Vendor does not remove products within 5 business days after termination, The Gathering may sell or dispose of them.


9. Liability & Indemnification

  • Vendor is responsible for ensuring products are safe, free of defects, and do not infringe on others’ intellectual property.

  • Vendor will defend and compensate The Gathering for any legal claims or costs caused by product defects or IP issues.

  • Neither party will be liable for lost profits, business losses, or other indirect damages, except in cases of intentional harm or gross negligence.


10. Additional Terms

  • Vendor cannot assign this agreement to another party without The Gathering’s written consent.

  • This agreement follows the laws of the State of Missouri.

  • Any disputes will be handled in Lawrence County, Missouri courts.

  • The Gathering may withhold payment during any active dispute.

  • Any changes to this agreement must be made in writing and signed by both parties.

  • If part of this agreement is found invalid, the rest remains in effect.

  • The relationship created here is independent contractor only. This is not a partnership, joint venture, or employment relationship.


11. Confidentiality

Any confidential information shared between the parties will remain confidential and governed by a separate confidentiality agreement if needed.
